Terms of Service
This is the agreement between your organisation and Layup. It is written to be read, not to be survived. If anything here is unclear, email us and we will explain it.
Who you are contracting with
Layup is operated by Shaurya Singh, an individual trading as Layup (sole proprietor). In these terms, “we”, “us” and “Layup” mean Shaurya Singh. “You” means the organisation that subscribes, and the people it invites.

Payments are taken by Paddle, which acts as the merchant of record and is the seller on your invoice. Paddle’s own buyer terms apply to the payment itself. Everything else in this document is between you and us.
What the service is
Layup is a web application. An administrator at your organisation approves a learning topic. Our software generates a short interactive course from that topic. The administrator reviews it, edits or regenerates anything they want, and publishes it. We then email the lessons to the people on your roster, send reminders, and report completion back to the administrator.
Everything you buy is produced by the software. We do not provide consulting, live training, coaching or any other human-delivered service.
We describe the current product on our home page and its price on our pricing page. We may add or change features. If we remove something you rely on, we will tell you by email.
Accounts and who may use it
Layup is sold to organisations for work use. It is not for personal or consumer use, and it is not for anyone under 16.
Administrators sign in with a Google account. Learners are added by an administrator and sign in the same way. You are responsible for:
- The accuracy of your roster, and having the right to add each person on it.
- Telling your people that you have enrolled them.
- Removing people who leave.
- Everything done through your administrator accounts.
Tell us straight away if you think an account has been used without permission.
Lessons are generated by AI, and you approve them
Course content is generated by a large language model from the topic you approve and from source material we supply. Generated text can be wrong, out of date, or a poor fit for your organisation.
No lesson reaches your people until an administrator publishes it. That review step is the point of the product, and we will not remove it.
Lessons are general education. They are not legal, financial, medical, safety or other professional advice, and they do not make your organisation compliant with anything. You decide what is suitable for your people to read.
You may use the courses generated for your organisation however you like inside it, including after you cancel any copies you exported. You may not resell them or publish them as a competing training product.
Acceptable use
Do not use Layup to:
- Break the law, or help anyone else break it.
- Generate content that is hateful, harassing, sexual, or designed to harm or deceive people.
- Generate instructions for wrongdoing, for example real attacks on real systems, weapons, or defrauding people.
- Upload personal data you have no right to share, or special-category data such as health records.
- Attack the service: automated scraping, load testing without asking, probing for vulnerabilities, or working around rate limits and usage caps.
- Resell, sublicense or share your seats outside your organisation, or use the service to build a competing product.
- Reverse engineer the service, except where the law allows it.
The public mini-course generator is offered free and rate-limited. We may refuse a topic, throttle it, or turn it off for anyone who abuses it.
If you find generated content that breaks these rules, email support@withlayup.com and we will take it down.
Seats and plans
A seat is one person who can receive lessons. Plans up to 100 people are flat bands; above that, the price is per seat. The bands and prices are on the pricing page.
If your roster grows past your band, we will ask you to move up. We do not cut a week off mid-program to force it. If your roster shrinks, you can move down at the next renewal.
Trial, payment and renewal
The trial lasts 14 days and needs a card. Cancel before it ends and you are not charged.
Subscriptions renew automatically, monthly or annually, whichever you chose, until you cancel. Prices are in US dollars and exclude sales tax or VAT, which Paddle calculates and adds for your country.
Paddle takes the payment as merchant of record, so the charge appears on your statement as Paddle. Paddle issues the invoice and handles the tax. We never see or store your card details.
If a payment fails, Paddle retries it. If it keeps failing we may pause the program until it clears.
We may change prices. Existing subscriptions keep their price until the next renewal, and we will give you at least 30 days’ notice by email before a change applies to you.
Refunds and cancellation
We offer an unconditional 30-day money-back guarantee. Ask within 30 days of a charge and we refund it in full. There are no conditions and nothing is deducted. The full wording is in our Refund Policy.
You can cancel at any time from your billing settings. Cancelling stops the next renewal; the program keeps running until the period you paid for ends.
Your data
Your roster, your topics, your edits and your people’s progress belong to you. We process them to run the service for you, and for nothing else. We do not sell data, and we do not use your people’s answers to train AI models.
What we collect, who processes it, how long we keep it, and what an administrator can and cannot see about an individual learner are all set out in the Privacy Policy.
Ask us and we will export your roster, completion data and reports, or delete your organisation’s data. We do both within 30 days.
Availability and support
We aim to keep Layup available and working, but we do not offer a service-level agreement at these prices, and we do not promise uninterrupted service. We may take the service down for maintenance, and we try to do that outside the Monday delivery window.
Support is by email at support@withlayup.com. One person answers it, usually within one working day.
Suspension and ending the agreement
You can stop using Layup and cancel at any time. We may suspend or close an account if it breaks the acceptable-use rules, if payment fails repeatedly, or if we must do so by law. Where we reasonably can, we warn you first and give you a chance to fix it.
If we close your account for a reason other than a breach by you, we refund the unused part of what you paid.
After the agreement ends you can ask for an export for 30 days. After that we delete your organisation’s data on the schedule in the Privacy Policy.
Warranties and liability
The service is provided as it is. Beyond what this document says, we do not give warranties, including any implied warranty that the service is fit for a particular purpose, or that generated content is accurate.
We are not liable for indirect or consequential loss, lost profits, lost data, or business interruption. Our total liability for any claim is limited to what you paid us in the twelve months before the claim.
Nothing here limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.
Changes to these terms
We may update these terms. If a change matters to you, we will email your administrators at least 30 days before it takes effect. Carrying on with the service after that date means you accept the new terms. If you do not, cancel and we will refund the unused part of what you paid.
The date at the top of this page is when it was last changed.
Governing law
These terms are governed by the laws of the United Arab Emirates, and the courts of that jurisdiction have exclusive authority over any dispute.
If any part of these terms turns out to be unenforceable, the rest still applies.
